11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MYBABYGUIDE OR ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF FIFTY U.S. DOLLARS (US$50) OR THE AMOUNT YOU PAID US (IF ANY) FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the licenses and rights granted to you will immediately cease. Sections that by their nature should survive (e.g., intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution) will survive termination.
14. Governing Law & Disputes
These Terms and your use of the Service are governed by the laws of the State of California, USA, without regard to conflict of law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California, for any action not subject to arbitration (if applicable).
Optional arbitration / class action waiver language can be added here if you decide to adopt an arbitration program.
15. Miscellaneous
- Entire Agreement. These Terms constitute the entire agreement between you and MyBabyGuide regarding the Service and supersede all prior and contemporaneous agreements.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
- Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign our rights and obligations under these Terms at any time.
- Headings. Section headings are for convenience only and have no legal or contractual effect.
